I saw the top 50 distributor list in Promotional Marketing Magazine & saw that Geiger is in the top 10.Just wondering if Geiger sells via employee sales reps or independent contractors.billyk

We're all independent contractors - our official title is now Sales Partners.

From what I read, Geiger Bros. purchase Forrester-Smith. It would be similar to any other business purchase. You get the capital equipment, inventory, company name (and any trademarks), along with the customer base and goodwill. No one can purchase employees, except where contracts are involved.
If any sales reps leave, now or later, any existing non-compete contract between F-S and the sales reps could be unenforceable. So, the customer base can shrink far below 100% of the previous year's sales volume, because some buyers may choose to do business with the rep if he or she leaves the new company. Of course, if Geiger continues to run F-S as a separate division under the old F-S name, any non-compete clauses would seem to be enforceable (Which legal power varies from state-to-state).
I'm not a lawyer, and I don't play one on TV. But, it would make sense for Geiger Bros. to do everything possible to keep as many F-S reps content to stay on board.
In times of transition, satisfied clients are very likely to remain loyal to their salesperson who serviced their account, and not the company who invoiced them.
